The Firm

Our client is a newly established Private Equity firm with a mandate for aggressive global investment. Backed by significant capital, the firm targets high-impact opportunities within Financial Services, Construction, Healthcare, and Mining. With a vision to build a world-class portfolio of resilient assets, the firm is currently establishing its inaugural Board of Directors to guide its global deployment strategy.

The Role

As a Non-Executive Director, you will provide independent oversight, strategic challenge, and expert guidance to the executive leadership team. Your primary focus will be supporting the firm’s Mergers & Acquisitions (M&A) activities on a global scale. You will be expected to leverage your professional background to evaluate complex cross-border transactions, ensure rigorous due diligence, and provide a "sanity check" on investment committees. This role requires an individual comfortable with international travel and the fast-paced nature of multi-sector, high-value deal making.

Key Responsibilities

  • M&A Advisory: Provide high-level scrutiny of potential acquisitions, disposals, and joint ventures across the firm’s four core sectors.

  • Strategic Oversight: Assist in defining and refining the firm’s global investment thesis and market entry strategies.

  • Governance & Compliance: Ensure the firm operates to the highest standards of international regulatory compliance, particularly in high-stakes sectors like Mining and Financial Services.

  • Risk Mitigation: Evaluate macroeconomic, geopolitical, and sector-specific risks associated with global deployments.

  • Investment Committee Participation: Act as a voting or advisory member of the Investment Committee, reviewing financial models, legal structures, and valuation assumptions.

  • Relationship Management: Utilize your global network to open doors to co-investment opportunities or specialised sector expertise.

The Candidate

 

We are seeking a seasoned leader with a distinguished career in Finance, Banking, Accounting, Law, or Corporate Strategy.

  • Sector Expertise: Deep familiarity with at least one of the firm’s core sectors (Financial Services, Construction, Healthcare, or Mining) is highly desirable.

  • M&A Track Record: Direct experience in high-value transactions, either as a principal investor, lead advisor, or legal counsel.

  • Global Perspective: Experience navigating different international regulatory environments and cultural business norms.

  • Experience: Likely to be a former executive, partner or senior manager.

  • Availability: Ability to commit a minimum of 5 days per month, with the flexibility to "scale up" during active deal closures.

Remuneration & Terms

  • Base Retainer: £120,000 per annum for the core 5-day monthly commitment.

  • Additional Work: Competitive daily rate paid for work beyond the initial 5 days, triggered by active M&A projects or intensive travel.

  • Expenses: Full coverage for international travel, accommodation, and related business expenses.

  • Travel: Global travel is a requirement of the role, often at short notice to visit potential asset sites or attend overseas board meetings.
